Service Terms & Conditions

1. Introduction
These Service Terms & Conditions (the "Terms") govern the access to and utilization of the CO-MD Software-as-a-Service platform (the "Platform"), operated by CO-MD Inc. We are a specialized SaaS provider delivering advanced solutions for healthcare and education. CO-MD processes personal data, including regulated health information, solely upon receiving explicit, informed user consent and in full compliance with jurisdictional privacy laws, including those in Ontario, Canada. By accessing or using the Platform, you acknowledge that you have reviewed and agree to be legally bound by these Terms.
2. Definitions
"CO-MD" Refers to CO-MD Inc. and its affiliates, subsidiaries, directors, and authorized representatives.
"User" Refers to any individual or entity accessing the Platform, including students, educators, healthcare professionals, and institutional partners.
"Data" Includes all information—personal, academic, or health-related—that is collected, generated, or processed via the Platform.
3. Scope of Services
Subject to these Terms, CO-MD provides the following specialized services through the Platform:
Data Hosting & Management
Secure storage and processing of Data in alignment with legal, regulatory, and contractual mandates.
Advanced Analytics & Reporting
Provision of analytical insights, certifications, and reporting for educational and healthcare objectives.
Research & Quality Optimization
Support for ethically approved research and educational innovation within healthcare and academic environments.
Healthcare Surveillance
Aggregate-level analysis of health trends and system performance where legally permitted.
4. Data Utilization & Compliance
4.1 Authorized Uses
Operation and continuous improvement of the Platform and its associated services.
Quality improvement and academic research, subject to required institutional approvals.
Generation of aggregate analytics that do not identify individual Users.
4.2 Prohibited Uses
Utilization of Data for unauthorized commercial exploitation or marketing.
Unauthorized disclosure or sale of identifiable personal or health-related Data to third parties.
6. Privacy & Security Protocols
6.1 Governance & Oversight
CO-MD maintains rigorous governance structures to oversee data privacy and information security. Our practices align with applicable legislation, including Ontario’s PHIPA and recognized global institutional standards.
6.2 Security Measures
Technical Safeguards
Implementation of industry-standard encryption, secure authentication, and controlled system access.
Administrative Safeguards
Deployment of role-based access controls, internal audits, and comprehensive staff training.
Physical Safeguards
Restricted access to facilities and periodic security assessments by independent experts.
7. Intellectual Property Rights
7.1 Ownership
All intellectual property rights associated with the Platform, including software, designs, and proprietary methodologies, remain the exclusive property of CO-MD Inc.
7.2 Usage Restrictions
Users are prohibited from copying, modifying, or reverse-engineering any component of the Platform without express authorization.
The Platform must be utilized solely for lawful purposes in accordance with these Terms.
8. Limitation of Liability
To the maximum extent permitted by law, CO-MD shall not be liable for indirect or consequential damages arising from the use of the Platform. Users are responsible for maintaining the confidentiality of their access credentials.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
10. Amendments to Terms
CO-MD reserves the right to update these Terms at its discretion. Material changes will be communicated via the Platform or electronic notice. Continued use constitutes acceptance of the revised Terms.
